Pontos acquires shopping center "Babilonas I" in Lithuania

Pontos has signed the purchase agreement to acquire 100% shares of the company, holding the asset. The deal will be closed on 7.12.2011.
”Babilonas I” shopping centre is the largest and the leading shopping centre in Panevezys region, and one of the best known shopping centres in Lithuania. With gross leasable area of over 22 thousand sq.m and an annual footfall of 4.5 million visitors, this single-storey shopping centre offers a solid international tenant mix, including NewYorker, United Colors of Benetton, JYSK, Deichman, Takko Fashion, and is anchored by Hyper Norfa – one of the leading supermarket chains in Lithuania. Panevezys is the 5th largest city in the country with over 110 000 inhabitants, located on an intersection of two Trans-European transportation arteries, connecting major Baltic and European cities. The strategic location makes "Babilonas I" a key retail destination in the region.

The seller is Carpathian PLC, which is a real estate fund listed on the AIM market of the London Stock Exchange. The company announced 2009 the intention to dispose of its assets and return capital to its shareholders. This deal was part of that process.

Pontos on allekirjoittanut kauppakirjan kauppakeskuksen koko osakekannan ostamisesta. Kauppa toteutetaan 7.12.2011, minkä jälkeen keskus siirtyy Pontoksen hallintaan.
Babilonas I on suurin kauppakeskus Panevezyksen alueella ja yksi parhaiten tunnettuja kauppakeskuksia koko Liettuassa. Keskuksen vuokrattava pinta-ala on yli 22 000 neliömetriä ja kävijöitä on vuosittain yli 4,5 miljoonaa. Yksikerroksisessa kauppakeskuksessa on vahva kansainvälinen vuokralaismix mukaanlukien NewYorker, United Colors of Benetton, JYSK, Deichman, Takko Fashion ja ankkurina Hyper Norfa, yksi Liettuan johtavista supermarketketjuista. Europe’s largest full-range soy protein plant to be built in Finland

Helsinki, Finland – Finnprotein Oy, an early-stage soy processing company backed by Renaissance Partners, has secured EUR100mn of financing for the construction of a multi-stage soy processing plant in Uusikaupunki, Finland – the largest facility of its type in Europe.
A high-powered Finnish investment consortium is participating in the financing, including Finnish Industry Investment, Pontos Group and Finnish pension funds, Varma and Etera, with Nordea and Pohjola mandated as lead arrangers. Finnvera is also participating in the transaction, with a significant stake.
To date, the project has been supported by Renaissance Partners, the proprietary investment arm of Renaissance Group; and the town of Uusikaupunki, whose Mayor, Kari Koski, expects Finnprotein’s activities to give a significant boost to the town’s economy.
Finnprotein extracts protein and oil from soybeans for the animal feed, human food and biodiesel industries in Finland and abroad. The plant will apply advanced multi-stage extraction technology, and process up to 400,000 tons of soybeans annually. At full capacity, it will generate net annual sales of more than EUR200mn and create employment for hundreds of people in Uusikaupunki and the broader Vakka-Suomi region.
Soy protein is a strategic resource that is largely imported into Europe as a finished product. Establishing a processing facility in Finland will position Finnprotein not only for the domestic animal feed industry, but also to become a global player in specialty food applications for soy protein, and a trusted supplier of soy protein to Scandinavia’s fish farming (aquaculture) industry. As a result of the depletion of wild fish stocks through overfishing, the aquaculture industry has seen a decade of strong growth in Scandinavian waters – a trend that is set to continue as environmentally sustainable fish forms an increasing part of diets.
“Today is a significant milestone for Finnprotein,” says Mikko Nordberg, Managing Director of Finnprotein Oy. “Closing this financing round means that a Finnish company with Finnish management now has the support of a consortium of blue-chip Finnish equity investors.”

The location for the plant was chosen primarily for its proximity to key markets, the availability of skilled labour and reliable infrastructure.

Finnproteinin soijajalostamo käynnistyy 100 miljoonan euron rahoituskierroksen vauhdittamana

Finnprotein Oy on kerännyt yhteensä noin 100 miljoonaa euroa Euroopan suurimman pitkälle jalostettujen soijaproteiinituotteiden jalostuslaitoksen rakentamiseen Uuteenkaupunkiin. Rahoituskierrokseen osallistuivat pääomasijoittajina Varma, Pontos, Etera ja Teollisuussijoitus sekä muina rahoittajina Nordea, Pohjola ja Finnvera.
Tähän asti hanketta on rahoittanut yhtiön omistaja Renaissance Partners. Uudenkaupungin kaupunginjohtaja Kari Koski on myös vahvasti tukenut hankkeen etenemistä ja uskoo sen antavan kaupungin yritystoiminnalle pitkäkestoisen piristysruiskeen.
”Tämä on tärkeä päivä Finnproteinille. Nyt rahoituksen järjestyttyä voimme aloittaa laitoksen teknisen toteutuksen ja organisaation rakentamisen. On hienoa, että suomalainen yhtiö saa suomalaisia omistajia”, kommentoi Finnproteinin toimitusjohtaja Mikko Nordberg rahoituskierroksen tulosta.
Finnprotein jalostaa soijaproteiinia rouheeksi eläinrehuteollisuudelle ja pitkälle jalostetuiksi tuotteiksi elintarviketeollisuudelle sekä biopolttoaineeksi. Yhtiö toimittaa soijaproteiinia Suomeen ja vientimarkkinoille. Täydellä kapasiteetilla toimiessaan laitos voi prosessoida 400 000 tonnia soijapapuja vuodessa. Tällöin sen liikevaihto olisi noin 200 miljoonaa euroa, ja se työllistäisi suoraan ja välillisesti satoja henkilöitä Uudessakaupungissa.

Due to major changes in Enfucell’s shareholders structure the composition of the Board was changed in the annual shareholders meeting on March 3, 2011. The new members are Mr. Juha Kokkila, who was also appointed as the new Chairman, and Mr. Markku Kaloniemi. Mr. Antti Kivimaa remains from the old board. Juha Kokkila M.Sc. (Civ. Eng.) is a board professional and Chairman of AMK-Holding Oy, a private investment company in Espoo, Finland. For 13 years he was CEO and Chairman of CMC-Group Oy, a subsidiary of AMK-Holding Oy until the company was acquired by Pöyry Group Plc in 2005. CMC-Group was a significant construction management company in Finland and the Baltic States. Besides his responsibility at Enfucell, Juha is Chairman of the Board of GSP Group Oy and a member of the Board of Bodim Port Oy (Body Shop in Finland and the Baltics).
Mr. Markku Kaloniemi, M. Sc. (Econ.), is a fund manager of Fim Forte, Fim Mondo and Fim Fenno investment funds at FIM Asset management Ltd. Markku has been in the banking industry since 1987 and is also a private investor. In addition to Enfucell, he is also a board member of FIM Group Ltd. and Vivago Ltd.
Antti Kivimaa M.Sc. (Eng.), B. Sc. (Econ) is a private investor and a board professional, and has served on the Enfucell board since June 2007, serving also as Chairman in 2009-2011. He is also a Senior Adviser at the VTT Technical Research Centre of Finland. Until 2009 he served Ruukki Group Plc, an industrial company listed in the Nordic OMX, as CEO and Executive VP since 2004. Pontos invests in Valmet Automotive

Pontos and Finnish government-owned investment company Finnish Industry Investment Ltd have signed an agreement to jointly invest 20 million Euros in Valmet Automotive, whereby they will acquire a 34% stake in the company. In connection with the investment round, the top management of the company will also invest in the company. The current sole owner, Metso Corporation, will remain as the majority shareholder of Valmet Automotive.
Valmet Automotive’s net sales in 2009 totalled 56 million Euros, and it currently employs some 800 people. Over the past 40 years the company has delivered more than 1.1 million cars to demanding customers worldwide from its factory in Uusikaupunki, Finland. Today Valmet Automotive is a provider of engineering, manufacturing and business services for the automotive industry. Currently the company has Porsche Cayman sports car, THINK City electric vehicle, and Garia luxury golf cars in production. Valmet Automotive is also an engineering and manufacturing partner for the premium hybrid car model Karma of Fisker Automotive, with serial production planned to start in the first quarter of 2011.
The future of new generation hybrid and electric vehicles as well as flexible and high-quality engineering and manufacturing services of Valmet Automotive are now at the beginning of a new development phase. Pontos sees this as a great opportunity to participate in the development of the company as an active Finnish minority owner. Pontos ja Suomen valtion pääomasijoitusyhtiö Teollisuussijoitus ovat yhdessä allekirjoittaneet sopimuksen sijoittaa yhteensä 20 miljoonaa euroa Valmet Automotiveen, jolla ne hankkivat 34% yhtiöstä. Sijoituskierroksen yhteydessä myös Valmet Automotiven ylin johto sijoittaa yhtiöön. Aikaisemmin Valmet Automotiven kokonaan omistanut Metso Oyj jää enemmistöomistajaksi.
Valmet Automotiven liikevaihto vuonna 2009 oli 56 miljoonaa euroa ja se työllistää tällä hetkellä noin 800 henkilöä. Viimeksi kuluneen 40 vuoden aikana yhtiö on toimittanut Uudenkaupungin tehtaaltaan yli 1,1 miljoonaa autoa vaativille asiakkaille ympäri maailmaa. Tänä päivänä Valmet Automotive toimittaa autoteollisuudelle suunnittelupalveluja, valmistuspalveluja ja liiketoiminnan kehittämispalveluja. Tällä hetkellä yhtiön tuotannossa ovat Porsche Cayman urheiluauto, THINK City sähköauto ja Garia luksusgolfautot. Pontos acquires shopping center "Babilonas I" in Lithuania

Pontos has signed the purchase agreement to acquire 100% shares of the company, holding the asset. The deal will be closed on 7.12.2011.

Europe’s largest full-range soy protein plant to be built in Finland

Helsinki, Finland – Finnprotein Oy, an early-stage soy processing company backed by Renaissance Partners, has secured EUR100mn of financing for the construction of a multi-stage soy processing plant in Uusikaupunki, Finland – the largest facility of its type in Europe.
A high-powered Finnish investment consortium is participating in the financing, including Finnish Industry Investment, Pontos Group and Finnish pension funds, Varma and Etera, with Nordea and Pohjola mandated as lead arrangers. Finnvera is also participating in the transaction, with a significant stake.
To date, the project has been supported by Renaissance Partners, the proprietary investment arm of Renaissance Group; and the town of Uusikaupunki, whose Mayor, Kari Koski, expects Finnprotein’s activities to give a significant boost to the town’s economy.
Finnprotein extracts protein and oil from soybeans for the animal feed, human food and biodiesel industries in Finland and abroad. The plant will apply advanced multi-stage extraction technology, and process up to 400,000 tons of soybeans annually. At full capacity, it will generate net annual sales of more than EUR200mn and create employment for hundreds of people in Uusikaupunki and the broader Vakka-Suomi region.
Soy protein is a strategic resource that is largely imported into Europe as a finished product. Establishing a processing facility in Finland will position Finnprotein not only for the domestic animal feed industry, but also to become a global player in specialty food applications for soy protein, and a trusted supplier of soy protein to Scandinavia’s fish farming (aquaculture) industry. As a result of the depletion of wild fish stocks through overfishing, the aquaculture industry has seen a decade of strong growth in Scandinavian waters – a trend that is set to continue as environmentally sustainable fish forms an increasing part of diets.

Finnproteinin soijajalostamo käynnistyy 100 miljoonan euron rahoituskierroksen vauhdittamana

Finnprotein Oy on kerännyt yhteensä noin 100 miljoonaa euroa Euroopan suurimman pitkälle jalostettujen soijaproteiinituotteiden jalostuslaitoksen rakentamiseen Uuteenkaupunkiin. Rahoituskierrokseen osallistuivat pääomasijoittajina Varma, Pontos, Etera ja Teollisuussijoitus sekä muina rahoittajina Nordea, Pohjola ja Finnvera.
Tähän asti hanketta on rahoittanut yhtiön omistaja Renaissance Partners. Uudenkaupungin kaupunginjohtaja Kari Koski on myös vahvasti tukenut hankkeen etenemistä ja uskoo sen antavan kaupungin yritystoiminnalle pitkäkestoisen piristysruiskeen.
”Tämä on tärkeä päivä Finnproteinille. Nyt rahoituksen järjestyttyä voimme aloittaa laitoksen teknisen toteutuksen ja organisaation rakentamisen. On hienoa, että suomalainen yhtiö saa suomalaisia omistajia”, kommentoi Finnproteinin toimitusjohtaja Mikko Nordberg rahoituskierroksen tulosta.
Finnprotein jalostaa soijaproteiinia rouheeksi eläinrehuteollisuudelle ja pitkälle jalostetuiksi tuotteiksi elintarviketeollisuudelle sekä biopolttoaineeksi. Yhtiö toimittaa soijaproteiinia Suomeen ja vientimarkkinoille. Täydellä kapasiteetilla toimiessaan laitos voi prosessoida 400 000 tonnia soijapapuja vuodessa. Tällöin sen liikevaihto olisi noin 200 miljoonaa euroa, ja se työllistäisi suoraan ja välillisesti satoja henkilöitä Uudessakaupungissa.

Due to major changes in Enfucell’s shareholders structure the composition of the Board was changed in the annual shareholders meeting on March 3, 2011. The new members are Mr. Juha Kokkila, who was also appointed as the new Chairman, and Mr. Markku Kaloniemi. Mr. Antti Kivimaa remains from the old board. Juha Kokkila M.Sc. (Civ. Eng.) is a board professional and Chairman of AMK-Holding Oy, a private investment company in Espoo, Finland. For 13 years he was CEO and Chairman of CMC-Group Oy, a subsidiary of AMK-Holding Oy until the company was acquired by Pöyry Group Plc in 2005. CMC-Group was a significant construction management company in Finland and the Baltic States. Besides his responsibility at Enfucell, Juha is Chairman of the Board of GSP Group Oy and a member of the Board of Bodim Port Oy (Body Shop in Finland and the Baltics).
Mr. Markku Kaloniemi, M. Sc. (Econ.), is a fund manager of Fim Forte, Fim Mondo and Fim Fenno investment funds at FIM Asset management Ltd. Markku has been in the banking industry since 1987 and is also a private investor. In addition to Enfucell, he is also a board member of FIM Group Ltd. and Vivago Ltd.
Antti Kivimaa M.Sc. (Eng.), B. Sc. (Econ) is a private investor and a board professional, and has served on the Enfucell board since June 2007, serving also as Chairman in 2009-2011. He is also a Senior Adviser at the VTT Technical Research Centre of Finland. Until 2009 he served Ruukki Group Plc, an industrial company listed in the Nordic OMX, as CEO and Executive VP since 2004. He has previously worked in senior and executive positions in several Finnish companies, ie. Sanoma Corporation, Janton Plc., E. Ahlström Ltd. and Sponsor Ltd. Antti has also served as Chairman of the Boards of Esmerk Group and FIM Banking Group Plc.

Pontos invests in Valmet Automotive

Pontos and Finnish government-owned investment company Finnish Industry Investment Ltd have signed an agreement to jointly invest 20 million Euros in Valmet Automotive, whereby they will acquire a 34% stake in the company. In connection with the investment round, the top management of the company will also invest in the company. The current sole owner, Metso Corporation, will remain as the majority shareholder of Valmet Automotive.
Valmet Automotive’s net sales in 2009 totalled 56 million Euros, and it currently employs some 800 people. Over the past 40 years the company has delivered more than 1.1 million cars to demanding customers worldwide from its factory in Uusikaupunki, Finland. Today Valmet Automotive is a provider of engineering, manufacturing and business services for the automotive industry. Currently the company has Porsche Cayman sports car, THINK City electric vehicle, and Garia luxury golf cars in production. Valmet Automotive is also an engineering and manufacturing partner for the premium hybrid car model Karma of Fisker Automotive, with serial production planned to start in the first quarter of 2011.
The future of new generation hybrid and electric vehicles as well as flexible and high-quality engineering and manufacturing services of Valmet Automotive are now at the beginning of a new development phase. Pontos sees this as a great opportunity to participate in the development of the company as an active Finnish minority owner. Senior advisor of Pontos Mr. Jarkko Sairanen will strengthen the board of Valmet Automotive. Mr. Sairanen (M.Sc. Eng, MBA) is the President of Elektrobit Corporation’s Automotive Software division supplying software products and R&D services to the automotive industry and serving customers such as Audi, BMW, Ford and Fiat.
The first step in the joint development plan of Valmet Automotive is the acquisition of European convertible roof system business of Karmann company, with production sites in Germany and Poland. In line with its strategy, the roof systems business acquisition will strengthen Valmet Automotive’s position in convertible car engineering and manufacturing services and especially in the component business. Revenue of the business to be acquired is estimated at around 180 million Euros in 2010 and it employs some 700 people in Germany and Poland. Pontos ja Suomen valtion pääomasijoitusyhtiö Teollisuussijoitus ovat yhdessä allekirjoittaneet sopimuksen sijoittaa yhteensä 20 miljoonaa euroa Valmet Automotiveen, jolla ne hankkivat 34% yhtiöstä. Sijoituskierroksen yhteydessä myös Valmet Automotiven ylin johto sijoittaa yhtiöön. Aikaisemmin Valmet Automotiven kokonaan omistanut Metso Oyj jää enemmistöomistajaksi.
Valmet Automotiven liikevaihto vuonna 2009 oli 56 miljoonaa euroa ja se työllistää tällä hetkellä noin 800 henkilöä. Viimeksi kuluneen 40 vuoden aikana yhtiö on toimittanut Uudenkaupungin tehtaaltaan yli 1,1 miljoonaa autoa vaativille asiakkaille ympäri maailmaa. Tänä päivänä Valmet Automotive toimittaa autoteollisuudelle suunnittelupalveluja, valmistuspalveluja ja liiketoiminnan kehittämispalveluja. Tällä hetkellä yhtiön tuotannossa ovat Porsche Cayman urheiluauto, THINK City sähköauto ja Garia luksusgolfautot. Valmet Automotiven strategian mukaisen liiketoiminnan osto vahvistaa yhtiön asemaa avoautojen suunnittelu- ja valmistuspalveluissa sekä erityisesti komponenttiliiketoiminnassa. Ostettavan kokonaisuuden liikevaihto on vuonna 2010 arviolta 180 miljoonaa euroa ja se työllistää noin 700 henkilöä Saksassa ja Puolassa.
Yritysjärjestelyn toteutuminen edellyttää tarvittavien viranomaislupien saamista.

Henri Kuitunen and Ilpo Kokkila together into the Russian business market

Henri Kuitunen and investment company Pontos Oy, owned by Ilpo Kokkila, have incorporated Caprus Oy with its focus on the Russian business market. The new company will cooperate as an expert and investor together with Finnish and Russian customers in logistics projects. Caprus Oy will operate also in the Finnish market offering expert services etc. Henri Kuitunen held a position as director general of VR Group 1997-2009, and Ilpo Kokkila is chairman of the board and main owner of SRV Group. Both have an extensive experience of the business with Russia.

Preseco Oy and investment company Pontos have agreed on Pontos becoming a new minority shareholder of Preseco Oy. With this agreement, Pontos invests in Preseco Oy. Pontos will be a new strategic owner of Preseco bringing significant know-how of international project business. For Pontos, Preseco Oy has a business concept worth investing in.
Preseco Oy and Pontos signed the agreement in Espoo, Finland on September 23rd, 2009.
